GENERAL REGULATIONS

2012 METEF-FOUNDEQ
Veronafiere Exhibition Centre, 18-21 April 2012

 

1) DEFINITIONS
Exhibition” means Metef – International Aluminium Trade Fair and Foundeq – International Foundry Technologies Trade Fair, organised by Alfin-Edimet S.p.A, located at Via Brescia 117, 25018 Montichiari, Brescia, tel. 0039 030 9981045; fax 0039 030 9981055; e-mail: info@edimet.com.

Regulations” means these general contract terms.

Organiser” means the company in charge of organising the Exhibition and its trademark, i.e. Alfin-Edimet S.p.A., which enters into this contract.

Direct Exhibitor” refers to those companies participating in the Exhibition as users of exhibition areas with their own stands, staff and products, and with direct signing of the contract with the Organiser (direct owner of the area and/or of the stand).

Co-exhibitor” refers to those companies participating in the Exhibition with customised space, as well as with products and staff physically present inside a Direct Exhibitor’s area.

Represented Company” means a company that is only present with the product and/or brand “hosted” at a Direct Exhibitor’s stand.

The Direct Exhibitor is responsible for the Co-exhibitors’ and Represented Companies’ product correspondence.

2) PLACE - DATE - TIMES - ENTRANCES
The exhibition will be held on 18-21 April 2012 at the Veronafiere trade fair complex and will bel held with Metalriclco-Recomat. The exhibition will be open from 9:00 a.m. to 6:00 p.m. on 18-19 and 20, and from 9:00 a.m. to 3:00 p.m. on 21. Those who have Exhibitor’s passes will be able to get into the complex one hour before the opening time; they will have to exit the pavilions within the half hour following the closing time. In order to allow the free entrance of Exhibitors and their staff to the Hall, the Organiser will provide suitable badges; their use entails the acceptance of these regulations.
The entrance to the Exhibition is free of charge, with the previous registration in the metef.com or foundeq.com websites, or directly at the Exhibition entrance, and it is reserved to professional operators.
The Organiser reserves the unquestionable right to change the abovementioned times and, if necessary, the date of the Exhibition, as well as to suspend the entry to operators for possible organisational reasons, without such fact constituting any charge of responsibility or any request to the Organiser.

3) ADMISSION AND PRODUCT REQUIREMENTS
In order to safeguard the Exhibition specialised content, the Organiser reserves the unquestionable right to accept or reject the requests to participate in the Exhibition, with no obligation of justifying its own decisions.

The following bodies can be admitted as exhibitors:
a) Italian and foreign Companies that display their own manufactured goods, their concessionaries, agents or general sole representatives for Italy and dealers.
Representatives, concessionaries and dealers must compulsorily attach to the application form the list of their represented brands whose products they plan to display. The Organiser has the discretionary and unquestionable power not to accept in the exhibition certain products or samples, as well as the presence of the same Company in more than one exhibiting space of the same product sector;
b) Trade Associations, Public Bodies and Organisations that carry out promotion activities for the sector, research, information and spreading activities in the specific field and related to services.
The Organiser reserves the right also to accept applications from Companies, Bodies and Organisations not listed in the previous points a) and b).
The application form shall only be considered to be accepted when the Organiser sends the confirmation of the exhibition area and the corresponding “Stand Allotment Notice”.

4) APPLICATION FORM
To register in the Exhibition, it is necessary:

  • to fill in the application form before the deadline and according to the modalities established therein on the metef.com or foundeq.com website or to fill in and hand in to the secretary the forms prepared by the Organiser or send them by fax to +39 030 9981055;
  • Send a copy of the payment of the registration fee and the fees of the represented companies to the e-mail address commerciale@metef.com or commerciale@foundeq.com or by fax to +39 030 9981055.

Sending the application form by fax or e-mail is an irrevocable commitment for the applying Company and implies the acceptance of these General Regulations, of the Technical Regulations that are an integral part of these Regulations and of all the rules issued, or that will be issued afterwards by the Organiser.
The participation fees are to be found on the application form.
In case the Organiser requires it, the applicant must document its registration in the Chamber of Commerce.
The Organiser will decide on the application acceptance unquestionably and with no possibility of appeal, and without obligation to give any explanation.
In case of an affirmative decision, the applicant will be informed by the Organiser at least 30 days before the start of the Exhibition of its acceptance and the confirmation that it has been granted an exhibiting space and, thus being qualified as exhibitor. This is valid provided that the Organiser receives the application form within the date indicated in the application form. For applications received after that date, the Organiser will be able to communicate the acceptance of the request until the day before the opening of the Exhibition.

Incomplete Application Forms, Application Forms without receipt of payment of the registration fee and/or Application Forms that do not comply with the specifications indicated above shall not be taken into account.
Those Exhibitors that are already debtors of the Organiser due to lack of payments corresponding to other previous Exhibitions and /or  to other services furnished by the Organiser will not be able to be registered in a new edition of the Exhibition without having first fully paid their debt. Should such Exhibitors make a down payment for the new Exhibition, the payment shall be held by the Organiser in settlement of/towards the previous debt: the exhibitors expressly renounce the power to change the application of payments pursuant to Art. 1193 of the Italian Civil Code, first paragraph.
The Organiser shall give the Exhibitor a receipt for the payment to be applied in settlement of/towards the previous debt in accordance with, and by operation of, Art. 1195 of the Italian Civil Code.

5) PAYMENTS
Upon receiving the regular “Application Form” and the corresponding payment of the registration fee through bank transfer according to Art. 4, the Organiser shall send a first invoice for the amount paid by the Exhibitor; issuing such invoice does not necessarily entail the acceptance of the participation request. In case the application is not accepted, the abovementioned amounts shall be paid back without any surcharge for interests.
The advance payment, equal to 50% of the total fee or any other amount in force at the moment of payment, will have to be made through bank transfer 120 days before the start of the exhibition. The Exhibitor is obliged to pay the balance of the total amount including technical services and possible pre-fitted stand costs within  28-02-2012 and, in any case, no later than 30 days before the start of the exhibition
Those Exhibitors that shall send the “Application Form” after the term established for the balance of the amounts for the exhibition area will have to pay Alfin-Edimet the entire amounts due when sending the “Application Form”.

In order to be able to take possession of the allotted exhibiting space, the Exhibitor shall show the receipt of the full payment of the exhibiting space when arriving at the trade fair complex. The entry to the trade fair complex shall not be authorised to those companies and/or their representatives that are not able to prove the payment of the amount due for the exhibiting space.

Balance for other Services: the payments for additional services requested  after the invoicing of the above mentioned balance must be made through bank transfer before the beginning of the Exhibition and, in any case, in compliance with the provisions established in the single order forms included in the “Exhibitor Services Folder”.

The authorisation with the issue of the corresponding permit for taking the products displayed and/or the furnishing and dressing materials out of the trade fair complex at the end of the Exhibition shall only be given to the exhibitors that have paid the balance of all the amounts due for area and services. After regularising the administrative status, in order to take the goods out of the exhibition centre, the Exhibitors and/or stand fitters will have to give the control staff the “Exit Coupon” given by Alfin-Edimet.

6) FEES, REGISTRATION DEADLINES AND ALLOTMENT OF EXHIBITING SPACE
The registration fees, rates and registration deadlines are included in these Regulations. The fees for each sq m of exhibiting space are applied to the whole occupied area with an unbroken perimeter, and do not include any kind of furnishing or partition wall among the stands.

6.1) The “Direct Exhibitor/ Co-exhibitor” registration fee of € 300.00 includes the following services:

  • registration and publication in the Official Catalogue;
  • a copy of the Official Catalogue;
  • registration and publication in the Exhibitors Catalogue published on the exhibition web site;
  • Advertising tax inside the stands within the limits established in Art. 13.3 below;
  • 1 Exhibitors’ free entry pass for access to the Exhibition;
  • 2 parking cards. The parking spaces reserved for Exhibitors are available while such spaces last and are not attended; therefore, the Organiser shall not be held responsible for possible theft or damage to the vehicles.

The “Represented Company” registration fee of € 100.00 includes the following services:

  • registration and publication in the Official Catalogue;
  • registration and publication in the Exhibitors Catalogue published on the exhibition web site.

6.2) Rates for exhibiting space:

€ 159.00/sq m for covered areas with one open side;
€ 168.00/sq m for covered areas with two open sides;
€ 177.00/sq m for covered areas with three or more free open sides;

The abovementioned increase is also due in case the Organiser, for technical-organisational reasons, allots a privileged position (free sides), even if not requested.

No increase is applied to double-decker stands.

The rates for exhibiting space include the following services:

    • 200 free invitation tickets valid for one entrance to the exhibition (additional invitation tickets may be purchased through the corresponding form of the “Exhibitor Services Folder”);
    • Exhibitors’ free entry passes for the exhibition: 2 passes for each 16 sq m up to a maximum number of 50 passes (additional free entry passes may be purchased by filling in the corresponding form of the “Exhibitor Services Folder”);
    • general promotion and communication of the event;
    • heating, ventilation, general surveillance service (not on stands), general lighting of the pavilions, information service, sanitary services, first aid, fire brigade.

The Application Forms received after the registration deadline (31st October 2011) will be accepted with reserve and included in a waiting list.
The “Application Form” constitutes the Exhibitor’s irrevocable contractual participation proposal and implies the total acceptance of these General Regulations, of the Technical Regulations, as well as the Exhibitor’s obligation to comply with all the rules and provisions issued even afterwards by Alfin-Edimet in order to ensure the efficient organisation and running of the Exhibition.
The request of exhibiting space and open sides is purely indicative and subject to availability. The minimum exhibiting area that can be allotted inside the pavilions is 16 sq m. (4x4 m and multiples).

The allotted exhibiting space is not fitted out: it has no partition walls, carpets and/or furnishings.

The allotment of exhibiting space is exclusively and discretionarily pertaining to the Organiser.
Any particular requests related to the confirmation, enlargement, reduction, movement or sharing of the exhibiting space shall be sent with a specific letter attached to the “Application Form”. The requests related to the desired exhibiting space made by the Exhibitor while sending the participation documents and the requests related to the exhibition area are merely indicative and they are not to be considered as conditions for the approval of the “Application Form”, given that the acceptance of the “Application Form” and the allotment of the exhibiting spaces rest exclusively with the Organiser, which will allot the spaces according to its own organisational and layout needs and according to the available space. The Organiser will inform the Exhibitor in writing within the 30 days before the opening date of the Exhibition about the acceptance of the application form submitted, by sending the exhibiting space confirmation and the corresponding “Stand Allotment Notice”.
As regards its own unquestionable requirements, the Organiser reserves the power to change the location and characteristics of the exhibiting space that has been requested and/or already allotted. This possible change shall give the Exhibitor no right to object or to claim for damages suffered or to be suffered.
The Organiser reserves the right to allot space not shown in the prearranged exhibition map. For technical and organisational reasons, the Organiser – at its sole discretion – has the power to move or reduce the exhibiting space already allotted or to move it to another area up to 5 days before the opening date of the Exhibition. This gives the Exhibitor no right of compensation and/or refund of the paid fee. The Organiser shall inform the Exhibitor in writing.

7) CESSION AND WITHDRAWAL
The total or partial cession – even free of charge – of the stands is strictly forbidden.
The participant that for legitimate proved supervening impossibility can not participate in the Exhibition will be able to withdraw from the contract, documenting the reasons of such impossibility and informing the Organiser by registered letter with return receipt at least 40 days before the beginning of the Exhibition, it being understood that the Organiser will keep the registration fee and any other cost for damages caused by the withdrawal. If the Organiser is not informed of the withdrawal at least 40 days before the start of the Exhibition, the participant shall be obliged to pay, in addition to the registration fee, also the whole participation fee, plus any other costs for direct or indirect damages caused by the withdrawal. In that case, the Organiser will be able to dispose of the exhibiting space and to allot it to other Exhibitors. The Organiser will unquestionably judge by assessing the causes that prevent the Company from participating.
The participant that has not completed the furnishing and dressing of his exhibiting space within the time limits set by the tickler will be considered to be a defaulter in all respects; it will be obliged to pay the registration fee and the whole participation fee, as well as to refund the Organiser for any direct or indirect damage. In that case, the Organiser will also be able to dispose of the exhibiting space and to allot it to other Exhibitors.

8) FURNISHING AND DRESSING
The furnishing and dressing shall comply with the provisions of the Technical Regulations included in the “Exhibitor Services Folder”. The allotted exhibiting space is not fitted out. Those Exhibitors who are interested in the furnishing and dressing offered by the Organiser (partition walls, carpets, furnishings) will find the corresponding descriptions and costs in the application form and in the specific order forms included in the “Exhibitor Services Folder”.
On the other hand, those Exhibitors who plan to arrange the allotted space on their own and/or by employing stand fitters have to strictly follow the indications included in the Technical Regulations.
The Exhibitors and/or stand fitters are not authorised to hang posters, battens and/or other structures from the ceiling of the pavilions. The possibility of hanging elements to the structures of the pavilions rests exclusively with Veronafiere.
The furnishing and dressing of the stands may be performed after submitting a “Furnishing Project” to the Organiser, which must be approved by the competent Offices of Veronafiere. To such end, within the 60 days before the beginning of the exhibition, the Exhibitor shall send to the Organiser a Furnishing Project – the original on electronic format (.DOC, XLS, PDF, JPG, DWG file) – with floor plans, elevations and sections dimensioned to a suitable scale (1:50 or 1:100).
The maximum height allowed for the furnishing is 3 metres from the ground. In case the furnishing is more than 3 metres high, particularly complex and made up by metal structures located in uncovered and/or covered areas, the “Furnishing Project” will have to be necessarily accompanied by the calculation report of the structure stamped and signed by a certificated Professional Technician registered in the Engineers or Architects Association and with second cycle university degree, and, once the installation work is completed, by the certificate of static suitability of the structure stamped and signed by a certificated Professional Technician – different from the technician that has written the calculation report – registered in the Engineers or Architects Association and with second cycle university degree. The Organiser’s authorisations and interventions do not entail, on whatever basis, any responsibility for the Organiser, as any responsibility is to be borne by the Exhibitor.
In case the Exhibitor plans to have his exhibiting space arranged by third parties, he shall compulsorily inform the Organiser by filling in the corresponding form included in the “Exhibitor Services Folder”, indicating the name and corporate name of the Company in charge of furnishing and dressing the stand within the limits and according to the modalities established in such form.
For the exhibition, double-decker stands may be built: for such type of furnishing, it is necessary to obtain the Organiser’s authorisation by submitting the “Furnishing Project” at least 90 days before the start of the Exhibition. The design of double-decker stands must comply with the provisions established in the Technical Regulations.
Non-compliance with such procedures will bring about the lack of authorisation for accessing the trade fair complex and arranging the exhibiting space.
For any aspect that has not been specified in this document, refer to the provisions of the Technical Regulations, which are an integral part of these General Regulations and which are formally and entirely accepted.

8.1) Stand construction and furnishing
Unless otherwise specified, the areas will be made available for construction and furnishing from 7:00 a.m. on 11th April 2012 – from 7:00 a.m. to 8:30 p.m. on 11-16 April; and on 17th April 2012 from 7:00 a.m. to 4:00 p.m. The construction and furnishing of exhibition areas must be completed no later than 4:00 p.m. on 17/04/2012.
Access to the trade fair complex shall only be granted to those Exhibitors and/or stand fitters meeting all the requirements with the submission of the “Furnishing Projects” and the required relevant documents (e.g.: stand floor plans, compulsory technical forms of the “Exhibitor Services Folder”, fire prevention certificates, material test certificates, list of the staff employed in the stand construction and furnishing, etc.) requested in the Technical Regulations.
Exhibition spaces not occupied by 10:00 a.m. of the day before the opening of the Exhibition shall be considered to have been abandoned and may be used by the Organiser in any way: the provisions of Art. 7) “Cession and Withdrawal” are applicable.
The exhibition spaces correspond exactly to the area and position indicated in the floor plan sent to the Exhibitor together with the “Stand Allotment Notice”.

8.2) Stand clearance
Clearance of the stand areas must be carried out no later than – unless otherwise specified - 8:30 p.m. on 24th April 2012. Should this not be the case, the Organiser reserves the right to disassemble and store the structures without incurring any liability, and at the expense, risk and liability of the defaulting exhibitor.
The areas will be made available for stand clearing operations on 21st April from 4:00 p.m. to 8:30 p.m. (only for materials that can be transported by hand or with trolleys) and on 22-24 April 2011 from 7:00 a.m. to 8:30 p.m.
For every day that the goods and structures remain in the exhibition centre beyond the deadline for stand clearance, the Exhibitor shall pay a penalty of € 1,000.00, excluding compensation for further damage. According to Veronafiere organisational needs and, in any case, after a period of 30 days from the last date for stand clearance, any unclaimed object and/or structure remaining in the trade fair complex may be transferred by the Organiser to the Public Warehouse, where they will remain available for their rightful owners; any risk and expense for transporting and storing goods at the Public Warehouse – regulated by articles 1787 et seq of the Italian Civil Code – shall be exclusively borne by the Exhibitor.
By the deadline established for stand clearance, the Exhibitor shall return the stand space in the same condition in which it was made available to the Exhibitor. It is understood that in case of leaving debris (wood, carpets, paper, etc..), Veronafiere shall clean the area and dispose of the waste, charging the Exhibitor for the costs incurred for such services on the basis of the current rates charged by the dumps authorised for each type of waste. In case of failing to remove the adhesive used for fixing the stand floor to the ground, Alfin-Edimet shall charge the Exhibitor € 30.00 for each running metre left in the exhibiting space for partially covering the costs incurred for cleaning, removing and disposing of such adhesive.

9) EXHIBITOR SERVICES FOLDER
The Organiser requires the Exhibitor to fill in the forms related to the electricity for the lighting of the stand and insurance (civil liability). For the supply conditions, the assessment and measurement modalities and unit prices, the information indicated in the corresponding forms is applicable.

In order to support Exhibitors, the Organiser – within the trade fair complex – reserves the right to contract and franchise any service considered useful for participants, establishing the corresponding rules that are compulsory for all purposes. In particular, water, light, power, compressed air (the connections can only be made by the staff from the exhibition centre).
The stand cleaning service shall be performed at the expense of the corresponding Exhibitors by employing the company authorised by the Organiser. The connections of telephones may only be made by the supplier authorised by the Organiser.
All the abovementioned services are included in the specific forms with the corresponding rates. The Organiser is neither liable nor jointly liable towards Exhibitors for any damage caused by service contractors or franchised dealers, services and supplies; therefore, the Exhibitor takes on third party liability on its own and waives – now and for henceforth – the right to any direct or claimed action against the Organiser.

10) FORWARDING
For the execution of rail and customs formalities, Exhibitors are free to use a forwarding agent of their choice. Veronafiere Official Forwarding Agent is able to execute the rail/customs formalities and to load and unload goods as long as the Exhibitor has requested the service by filling in the specific order form included in the “Exhibitor Services Folder” within the time and according to the modalities established in such form. For the goods forwarding and/or transportation services, the Official Forwarding Agent will apply the rates – already approved by the Organiser – included in the specific order form mentioned above. It is understood that all legal relations will be exclusively between the exhibitor and the Official Forwarding Agent. The provision of such services is therefore subordinated to the Official Forwarding Agent’s direct confirmation. The Organisers offers those Exhibitors that have requested the Official Forwarding Agent service an entry pass reserved for the goods loading/unloading operations that will be carried out according to the Organiser’s Official Forwarding Agent programming.

10.1) Transportation inside the Exhibition Centre
The goods loading/unloading operations inside the exhibition centre shall be exclusively performed by the Official Forwarding Agent with the rates indicated in the order form of the “Exhibitor Services Folder”.
The operations related to unloading and positioning the goods shall be completed no later than 8:30 p.m. of the day before the beginning of the Exhibition.

11) MACHINES IN MOTION / ACCIDENT PREVENTION
Only exceptionally and with the Organiser’s prior authorisation may the machines be put into operation under the Exhibitor’s exclusive responsibility and according to the conditions established in the Technical Regulations.
The Exhibitor shall adopt all the necessary measures for protecting its own staff and operators, and observe all legal provisions and regulations in force in order to obtain the necessary authorisations from the competent Authorities. Within the 60 days before the opening of the Exhibition, the Exhibitor shall ask the Organiser in writing for the authorisation to put the exhibited machines into operation.
In case of demonstrations involving the participation of visitors, the Organiser may request additional documents for ensuring the safety of Exhibitors and Visitors.
The Organiser reserves the right to limit and/or prohibit the operation of machines that may endanger the safety of Exhibitors and/or Visitors, and cause excessive inconvenience, even if such operation had been previously authorised.

12) PHOTOGRAPHS AND REPRODUCTIONS - INDUSTRIAL AND INTELLECTUAL PROPERTY
The stands and displayed products may neither be photographed, filmed nor reproduced without the authorisation of Exhibitors involved and the Organiser. Alfin-Edimet reserves the right to reproduce or to authorise the reproduction of internal or external general or detailed views.
The introduction of photographic or filming equipment in the Exhibition is subject to the Organiser’s written authorisation. The Organiser is not responsible for unauthorised reproductions of stands or displayed goods.
The Organiser is not responsible at all for the activities performed by the exhibitors during the running of the Exhibition and, in particular, for the display of products infringing on industrial property rights, that is, for the Exhibitors’ unfair trade practices.
The Organiser has decided to activate the “Industrial and Intellectual Property” service. By accepting these regulations, the undersigned Exhibitor declares its adherence to the Industrial and Intellectual Property Service Regulations, respecting their implementation and committing itself not to interfere with their operation.

13) ADVERTISING AND OFFICIAL PUBLICATIONS
13.1) Official Catalogue and Other Publications
The Organiser reserves the exclusive right to publish, sell and/or distribute the Official Catalogue of the Exhibition. It will also be able to print and distribute other publications of different nature with which it reserves the right to illustrate and promote the Exhibition at any time and in any ambit.
The Official Catalogue will include indications regarding the Exhibitors whose “Catalogue Data” (with the regular and accepted “Application Forms”) have been received no later than 28th February 2012. Upon payment, the Exhibitor will be able to add – through the corresponding order form and with the previous Organiser’s authorisation – additional technical specifications and advertisements.
Neither the Organiser nor its assistants shall be responsible for possible errors or omissions to be found in the Catalogue or other advertising publications made for the Exhibition. In addition, the Organiser shall not be responsible for possible printing defects of advertisements reproduced from material that does not meet the necessary requirements for a good reproduction and when it has been stated by advertisers on the advertisements.
Alfin-Edimet reserves the right to change – at its sole discretion – advertising positions already agreed upon with the advertiser Exhibitors whenever there are technical needs that require it.

13.2) Advertising
Exhibitors may carry out promotional activities for their company or for their represented companies exclusively within their own exhibition area, as long as this is done in compliance with the provisions of law, the Public Security standards, and the General and Technical Regulations herein described. Exhibitors may distribute catalogues, price lists or other material only within their own exhibition area. Leafleting is strictly forbidden. Subscription requests or other activities that may disrupt or damage the Organiser’s image or the correct running of the Exhibition are forbidden. The Organiser reserves the right – at its sole discretion – to prohibit or suspend the exhibition and/or distribution of promotional/advertising materials and/or messages that are contrary to the regulations in force or which are not relevant and suitable for the Exhibition.

13.3) Posters and Billboards
The advertising tax for posters and billboards below 3 metres from the ground is included in the “Registration Fee”. The Organiser shall give the necessary instructions.
The advertising posters and billboards placed above the 3 metres from the ground shall comply with the provisions included in the Technical Regulations and are subject to the Organiser’s written approval as well as to the payment of the advertising fee established by the Organiser and to the payment of the town tax. The “Exhibitor Services Folder” includes the specific order forms with the indications related to posters, billboards and advertising fees. The Organiser shall not be held responsible for the penalties that might be charged in compliance with the law for advertising spaces not declared by the Exhibitors in such forms.

13.4) Audiovisuals and Acoustic Devices
Any form of promotion/advertising using loudspeakers, audiovisuals or devices similar to those used in cinemas within the exhibition area, and reproduced in public must comply with the SIAE (Act 633 dated 22/04/41 and subsequent amendments). According to what has been stated above, the Organiser shall give the necessary instructions.
The promotion/advertising made by means of visual, audiovisual, audio and similar systems, with or without sound (TVs, PCs, CD and DVD players, radios, giant screens and others), is subject to the Organiser’s approval and to the payment of the advertising fee indicated in the corresponding form included in the “Exhibitor Services Folder”. The use of sound communication must not disturb neighbouring Exhibitors: to such end, the Organiser reserves the right to suspend such communication in case of justified complaints and requests from other Exhibitors.

14) PARKING SPACES
The Organiser takes no responsibility upon itself for vehicles parked inside or outside the exhibition centre. Only vehicles with the special badge can park in the proper parking spaces during the opening hours of the exhibition centre. In case of inobservance, the Organiser has the power to have the vehicle transported in an attended place even outside the exhibition centre, under the risks and expenses of the Exhibitor.

15) SURVEILLANCE AND INSURANCE
15.1) General Surveillance
Custody and surveillance of exhibition spaces is under the sole responsibility of the Exhibitors throughout all the opening hours of the pavilions, both during the running of the Exhibition and during the stand construction and clearance phases. It is therefore advisable for Exhibitors displaying objects that are easy to remove to be present at their stands during daily opening hours.
The Organiser provides – in its own interest and due to its own needs – a regular day and night surveillance service within the Exhibition premises, though it declines any responsibility for theft or damage to goods present and displayed in the exhibition spaces or within the exhibition centre.

15.2) Insurance
The Exhibitor shall be liable to the Organiser for all direct or indirect damages due to any cause (including damages provoked by electric plants made by himself or by third parties) and for any money that the Organiser, because of acts and/or faults of the Exhibitor, has to pay by any way to other Exhibitors, Visitors, its own or other employees and third parties in general, with no exception or limitation of any kind. The Organiser obliges the Exhibitor to draw up a general liability insurance policy towards third parties with a main Insurance Company by means of the special form or on its own and at its expenses, with a unique limit not below Euro 2,500,000.00. The policy shall be valid from the 7th day before the exhibition to the 7th day after the closing date of the exhibition. The Organiser places at all exhibitors’ disposal an insurance policy against theft, fire and accidents with a main insurance company.

The Organiser places at the Exhibitors’ disposal the conventions established with the main insurance company and gives them access to them as long as the Exhibitors are up to date with the registration procedures and with the payments due for the Exhibition. The insurance cover shall be valid from the 1st day of stand construction and furnishing to 12.00 a.m. of the 7th day after the closing date of the exhibition.
The covers established are the following:

  •  General Liability towards Third Parties, for a maximum amount of € 2,500,000.00
  •  Fire insurance and other damages to goods:
    • furnishings of the pavilions, machines, equipment and goods € 26,000.00
    • electronic appliances in general, audiovisual, photographic and office devices € 800.00
    • theft and robbery € 5,000.00
    • 10% overdraft with a minimum of € 25.00
    • breakage of fragile objects € 1,600.00
    • total franchise € 260.00

In case of Direct Exhibitors that are heads of collective areas (public corporation, consortium, etc.), the abovementioned maximum amounts are valid for the area as a whole, and not for each single co-exhibitor that is part of it.
The Direct Exhibitor/organiser of the collective area may request an insurance expansion for its own co-exhibitors by means of the specific form included in the “Exhibitor Services Folder”.
In case a Direct Exhibitor, for a more specific protection, considers that it needs an insurance cover for higher amounts or for different risks, it can do it either directly by a Company of its choice or through the Organiser Alfin-Edimet (tel. 0039/0309981045 – fax 0039/0309981055), which is available for any additional information and integration. For further details, refer to the corresponding information sheets and forms included in the “Exhibitor Services Folder”.
In any case, the Exhibitor is liable in civil and criminal law for any injury to persons or damage to property caused by the equipment, structure or whatever else present in the allotted area, as well as for his own actions and for those acting for him.
Validity: the insurance cover begins 7 days before the opening of the Exhibition and ends 7 days after its closure.

Notification of damages and theft: The insured party shall immediately notify the Exhibition Centre Operating Services and, in case of theft, also make the immediate formal complaint to the local Judicial Authority or Police. For compensation, contact the Alfin-Edimet Organising Secretariat (tel. 0039/0309981045 – fax 0039/0309981055), sending them a detailed report of the damaging event.
Non-compliance with one of such obligations may entail the total or partial loss of the right to indemnity in accordance with Art. 1915 of the Italian Civil Code.

16) PROHIBITIONS AND MISCELLANEOUS
16.1) Prohibitions
In addition to the prohibitions already defined in the specific articles of the General and Technical Regulations, it is expressly forbidden:

      • to transfer to third parties – even partially – and to exchange the stands that have been allotted
      • to display products that are not listed in the “Application Form”, or in any case not pertinent to the categories of goods included in the Exhibition (Art. 3), unless the Organiser specifically authorises it;
      • to start stand clearing operations before the closing time (3:00 p.m.) of the last day of the Exhibition. Those companies starting such clearance operations before the term established in these Regulations will be punished by charging them € 1,000.00;
      • to use the trademark of the Organiser without written authorisation;
      • to distribute promotional material (magazines, catalogues, leaflets, etc.) not concerning the Exhibitor, who may distribute such material exclusively within the allotted stand area;
      • to carry out any kind of political propaganda within the trade fair complex;
      • to carry out the direct sale of the materials displayed;
      • to display the prices on goods and products;
      • to display used or second-hand products without the Organiser’s explicit written authorisation;
      • to take products and materials out of the trade fair complex during the Exhibition without the Organiser’s written authorisation, except for small samples, which – in any case – shall be accompanied by the specific forms available at the Organiser’s offices.
      • to carry out any form of food serving activity in the stands or within the exhibition centre without the Organiser’s specific authorisation;
      • to light or cause fires or to introduce explosive material or detonating, dangerous, foul-smelling products, or in any case susceptible to cause damage or disturbance;
      • to introduce dogs in the exhibition centre, with the exception of guide dogs for the blind;
      • to drive or park vehicles of any kind within the Exhibition area;
      • to leave vehicles parked overnight (even in case of breakdown) within the trade fair complex;
      • to cause disturbance or annoyance of any kind to the regular running of the Exhibition, upon penalty of immediate expulsion from the exhibition centre;
      • to remain in the stands or within the trade fair complex beyond the Exhibition closing time or during unauthorised times, without the Organiser’s special written authorisation;
      • to attach loads to the ready-to-use structures provided by Veronafiere and to the pavilions (walls, lighting supports, bus ducts) without the Organiser’s specific written authorisation;
      • to make holes, insert nails and/or screws into the ready-to-use structures provided by the Organiser or any other internal and external surface of the pavilions and exhibition centre facilities;
      • to modify/tamper with the electrical plant provided by the Organiser and/or to move individual components as well as to make direct connections to such circuits. Every modification that may be necessary must be implemented, only after specific request, by Veronafiere personnel;
      • to exhibit air balloons and/or similar inflatable structures in inside or outdoor areas, unless specifically authorised by Veronafiere;
      • leave overhead and suspended loads on cranes, lift arms and telescopic booms both during the Exhibition and out of the exhibition hours.

If these General and Technical Regulations, or other regulations issued by the Organiser are infringed, the latter may declare its legal relationship with the Exhibitor to be terminated, and may also exclude the Exhibitor from the Exhibition, without the latter having any right of repayment and/or compensation. The Organiser, however, retains any rights to claim compensation for further damages. In addition, the Organiser may exclude the Exhibitor that has been notified regarding the infringement of the abovementioned prohibitions from participating in future exhibitions.

16.2) Miscellaneous

  • The Exhibitor is liable in civil and criminal law for any injury to persons or damage to property caused by the equipment, structure or whatever else present in the allotted area, as well as for his own actions and for those acting for him.
  • The Technical Regulations, the Industrial and Intellectual Property Service Regulations and the technical supply standards included in the various forms of the “Exhibitor Services Folder” are an integral part of these General Regulations and constitute a unique, indissoluble context of such regulations.
  • The submission and signing of the “Application Form” and the consequent acceptance of these General Regulations further oblige the Exhibitor to fully respect the Technical Regulations as well (always available at the Organiser’s offices and included in the “Exhibitor Services Folder”), which the Exhibitor signing this contractual proposal states that he knows.
  • By undersigning these regulations, the Organiser and the Exhibitor agree that any future communication there may be from the Exhibitor and the Organiser may be made by means of e-mail. In case the on-line contact between Exhibitor and Organiser is related to the execution of purchases or to the request of the provision of services, the on-line contacts, in the modalities indicated in the Organiser’s system telematic path, will constitute the formal order of services or the actual execution of the purchases with charging and issue of the corresponding invoice.
  • “The Organiser promotes the importance of enforcing Industrial and Intellectual property rights as indispensable rules for fair trade practices within the industrial market and, in particular, during its exhibitions. However, the Organiser is not responsible at all for the activities performed by the Exhibitors during the exhibition and, in particular, for the display of products infringing on industrial property rights, that is, for the Exhibitors’ unfair trade practices. To such end, the Organiser has decided to promote all kinds of useful initiatives for strengthening the enforcement of Industrial and Intellectual property rights, in particular through the activation of the “Industrial and Intellectual Property Service”. By undersigning and accepting these Regulations, the undersigned company states that it adheres to the Industrial and Intellectual Property Service, to which it refers and whose provisions are binding and compulsory for the adherent exhibitors that commit themselves to respecting its implementation and not to interfering with its operation. The fact that, during the exhibition, the Organiser or third parties offer Exhibitors, either free of charge or not, services, including legal services, that Exhibitors can use for their own protection with respect to other Exhibitors’ conducts, does not entail any responsibility for the Organiser in relation to such conducts or to the provision of such services”.
  • Exhibitors must stringently observe all applicable regulations regarding the protection of health and physical integrity of workers, fire prevention, accident prevention in the workplace and electrical plant during the entire exhibition, encompassing: stand construction and furnishing, running of the Exhibition and clearance, and all other related activities. Moreover, the Exhibitor commits itself to observing and making all the companies operating on its behalf observe the Technical Regulations established by the Organiser during the stand construction/clearance operations and as regards all other relevant activities.
  • The Organiser reserves the right to introduce further regulations or measures deemed appropriate for the better management of the Exhibition and the internal services, even if this entails departing from these General Regulations. Such regulations and measures are equivalent to these General Regulations and are therefore binding.
  • In cases of force majeure, or as a result of any circumstance beyond the Organiser’s control, the date of the Exhibition may be changed and the Exhibition itself may be cancelled without any responsibility for the Organiser.
  • The Organiser has the discretionary and unquestionable power to modify the dates of the Exhibition; in this case, the Exhibitor has no power to withdraw or cancel the contract and the obligations assumed with the Organiser. Until 30 days before the opening day of the Exhibition, the Organiser has the power to reduce or cancel the Exhibition partially or completely, informing the Exhibitors by letter, without being obliged to pay any kind of penalty or payment for damages.

17) INFORMATION AND CONSENT PURSUANT TO ITALIAN LEGISLATIVE DECREE 196/2003
According to Italian Legislative Decree 196/2003, the “personal data” protection code, the Organiser, as data “manager”, is obliged to provide certain information regarding the use of the personal data.

Data processing purposes
The personal data are processed within the scope of the Body’s Institutional activity, with the following purposes:

  • purposes strictly connected with, and instrumental in the management of the relationships with clients and with suppliers (e.g. acquisition of the data before entering into a contract, execution of operations and provision of services on the basis of the obligations arising from the contract that has been entered into; etc.) and in the protection of credit (tasks to debt collection agencies, factoring agencies and/or credit institutions);
  • purposes functional to the development of the Body’s activity, for which the interested party has the power to give its consent or not. The following activities are included in this category:
    • sending clients information or advertising material concerning the exhibitions organised and/or other services provided by Alfin-Edimet;
    • checking the level of customer satisfaction also by means of business research firms;
  • purposes related to the obligations required by law, regulations, community rules, as well as provisions established by authorities legitimised to do so (e.g. fiscal legislation, statistics, etc.).

Data processing modalities
Personal data are processed manually, by computer and telecommunication tools, in a rationale strictly linked to the abovementioned purposes and, in any case, so as to guarantee the security of the data by adopting suitable preventive security measures according to Art. 31 et seq of Italian Legislative Decree 196/2003.

Categories of subjects to which the data can be communicated.
For performing its activity, the Organiser also resorts to:

  • external companies/enterprises/associations that perform activities strictly connected with the management of the relationships between the Organiser and the client. The data processing performed by such subjects has the following purposes:
  • provision of the services pertaining to the participation in the exhibition

(technical, logistic, insurance services, etc.)

  • printing of the official catalogues of exhibitions;
  • printing, enveloping, mailing and delivery of communications to clients.

It follows from this that, without the interested party's consent to communicate the data to the abovementioned and to the related processing, to be expressed by sending or delivering the consent form shown below stamped and signed to the Organiser, the Organiser will be able to start only those services that do not require the communication of personal data to third parties.

  • Subjects and/or agencies that perform debt collection, factoring agencies, credit institutions:
  • External companies/enterprises/associations or companies controlled by the Organiser that perform activities that are functional to those performed by the Body. The data processing performed by such subjects has the following purposes:
  • to carry out – on behalf of the Organiser – market researches on representative samples of clients;
  • to send the Organiser’s clients communications, information and advertising material regarding the exhibitions organised and/or other services provided by the Organiser itself or by third parties with which the Organiser has entered into agreements to such end;
  • to promote – on behalf of the Organiser – as agents, procurers or similar roles, the acquisition of Visitors and Exhibitors to Alfin-Edimet exhibitions and events;
  • to ensure the surveillance and security of Veronafiere Exhibition Centre;
  • to promote – on behalf of the Organiser – services pertaining to the commercial activity of Visitors and Exhibitors.

Scope of disclosure
If a contract for participation in trade exhibitions is successfully concluded, the Organiser, according to the provisions expressly established in the General Regulations of participation, will enter the personal data in the exhibition Official Catalogue, which will be distributed within Italy/abroad.
The data provided by the Exhibitors may be spread by the Organiser through electronic means, including multimedia systems. These data will enable Visitors and Exhibitors taking part in each individual exhibition to locate the position of stands and learn about the features of the products and/or displays of participating Exhibitors.

Rights attributed under Italian Legislative Decree 196/2003
Finally, it shall be noted that Art. 7 of the Decree in question attributes specific rights. In particular, the data subject has the right to obtain from the data manager the confirmation of the existence or otherwise of their personal data and to request that such data are made available to them in an intelligible form. Data subjects also have the right to be informed as to the source of the personal details and the processing operations and purposes, and to cancel, make anonymous or block access to any personal details that have been processed unlawfully. In addition, data subjects may request the updating, correction or – if in their interest to do so – the completion of the details held. Data subjects may also oppose, for legitimate reasons, the processing of any of their personal details, and freely oppose the processing of their personal data for the purpose of sending commercial information on market researches or interactive commercial material.

In relation to the information you sent us according to Italian Legislative Decree 196/2003, we give our consent (tick the relevant boxes):

    • to the communication of the data to external companies/enterprises/associations in charge of: providing the services pertaining to the participation in the exhibition (technical, insurance services, etc.); printing the Official Catalogue of the exhibition in question; printing, enveloping, mailing and delivering the communications to clients; the surveillance and security of Veronafiere Exhibition Centre;
    • to the communication of the data to external companies/enterprises/associations and to companies controlled by the Organiser that, on behalf of the Body, are in charge of: promoting services pertaining to the commercial activity of Visitors and Exhibitors; and carrying out market researches;
    • to the distribution of the data through their publication in the exhibition “Official Catalogue”, by the same standards as the provisions of the General Regulations of participation, as well as by entering such data in electronic means and multimedia systems;
    • to send communications, information and advertising material regarding the exhibitions organised and/or other services provided by the Organiser or by third parties with which the Organiser has entered into agreements to such end.

18) GENERAL PROVISIONS
The Organiser transfers onto the Exhibitor the obligation to follow possible directions issued by the authorities in charge of the surveillance of the spaces open to the public in order to guarantee the safety of Visitors. Any complaint concerning the organisation of the Exhibition and its running must be put into writing in order to be considered valid. The decisions taken by the Organiser on the matter will be final and not open to appeal. The rules of the town council of Verona and of the Civil Code are applicable for anything that has not been provided for in these Regulations.

19) CLAIMS AND JURISDICTION
The Exhibitor elects its legal domicile in the seat of the Organiser, and accepts exclusively the Italian Jurisdiction. The relation is regulated by the Italian Laws, and Brescia shall be the exclusive place of lawful jurisdiction.

In accordance with and by operation of articles 1341 and 1342 of the Italian Civil Code, the Exhibitor approves all the terms included in these Regulations.
